General Counsel
Summary: The General Counsel will lead the company’s legal function, providing strategic, proactive legal leadership and advice to the Board of Directors, executive leadership, and the business across all domestic and international operations. This position is responsible for overseeing all legal matters directly or through management of the internal legal team and third-party counsel. Essential Duties and Responsibilities: (Additional duties may be assigned as needed.) Lead the drafting, negotiation, and review of a wide range of agreements, including client services agreements, vendor agreements, outsourcing, referral and strategic partnership agreements, marketing and referral agreements, confidentiality agreements, software licensing agreements, end-user license agreements, and data processing agreements. Collaborate closely with business stakeholders to ensure contracts and legal strategies align with operational and strategic objectives. Maintain deep knowledge of domestic and international laws and regulations applicable to the company’s business activities, proactively advising the business on risks and compliance requirements. Advise on and manage legal matters including: Corporate governance and board matters Labor and employment issues Internal investigations, dispute resolution, claims, incidents, and litigation management Protection and management of the company's intellectual property portfolio Real estate leases and facilities agreements Data privacy, cybersecurity compliance, and AI governance initiatives Client insolvencies and bankruptcies Support various strategic corporate initiatives, including mergers, acquisitions, divestitures, credit arrangements, and other complex transactions. As needed, recruit, develop, and lead a highly competent legal team of business-oriented generalists and specialists, fostering a culture of professionalism, collaboration, and continuous improvement. Engage and manage outside counsel as needed, ensuring services are cost-effective and aligned with business needs. Develop and manage the legal department’s budget, including forecasting based on strategic objectives and historical performance, and implementing controls to optimize resource allocation and cost efficiency. Qualifications:  To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. Education and Experience: Juris Doctor from an ABA accredited law school or equivalent. Prefer 10+ years of related legal experience in both a large firm and inhouse environment with a history of increasing responsibility, management experience, and budget accountability. Certificates, Licenses, Registrations: Admitted to practice law in one or more states (prefer member of State Bar of Georgia). Other Qualifications:     Work in the office 3 days per week.  Travel is required on occasion.
